Structuring and Sponsoring Delaware Statutory Trusts
Cypress Exchange Properties serves as DST sponsor — forming, structuring, and administering the trust entity that holds the underlying healthcare property. Working with qualified legal, tax, and securities counsel, we seek to structure offerings that meet the requirements for qualified replacement property under IRC Section 1031.

From Acquisition to Disposition
Property Acquisition
We source and underwrite purpose-built healthcare properties through direct relationships with developers, healthcare systems, and specialist brokers. Each asset is evaluated against defined investment criteria with a focus on location, tenancy, and lease structure.
Offering Structure
Working with legal and compliance counsel, we form Delaware Statutory Trust entities and prepare offering documentation in coordination with the managing broker-dealer. Each offering is structured to meet applicable securities and tax law requirements.
Investor Onboarding
Eligible accredited investors subscribe through the managing broker-dealer. We support a clear onboarding process including accreditation verification, document delivery, and subscription execution.
Asset Management
Our team actively oversees each asset — including lease compliance, capital planning, tenant relationships, insurance, and property-level reporting — throughout the hold period.
Property Management
We engage qualified property management firms to handle day-to-day operations. Management performance is monitored against defined standards with regular reporting to the DST trustee.
Investor Reporting
Investors receive quarterly reporting, tax documentation including K-1s, and access to relevant property and investment updates through the investor portal.
Cash Distributions
Cash distributions, when available and appropriate, are processed and distributed to investors according to the terms of the offering documents.
Hold Period & Disposition
At the appropriate time, and consistent with the investment objectives, we manage the disposition process — including sale or refinancing — and distribute net proceeds to investors.
